End User License Agreement

The short version

This agreement governs your use of the VoiceRoam mobile application as a piece of software installed on your device. It covers your license to install and use the app, what you can and cannot do with the software and its content, how offline downloads work, how AI-generated features are managed, and how your physical safety must be prioritized. This EULA works alongside our Terms of Service, which governs the broader service relationship including payments, user accounts, partner listings, and consumer dispute mechanics.

1. Parties and scope

1.1 This End User License Agreement ("EULA" or "License Agreement") is a legally binding contract between you ("you" or "user") and Travelfall Technologies Private Limited, a private limited company registered in India under CIN U62013UT2026PTC020981, with its registered office at C/O Dhruv Pant, Tipola, Gaon, Kherana Road, Ranikhet, Almora, Almora- 263645, Uttarakhand, India ("VoiceRoam," "we," "us," or "our").

1.2 This EULA strictly governs your use of the VoiceRoam mobile application (the "App"), including all object code, source code fragments distributed within packages, underlying assets, text-to-speech audio narrations, user interface designs, regular updates, and offline data packs delivered through the App.

1.3 This EULA is concluded solely between you and VoiceRoam, and not with Apple Inc. ("Apple") or Google LLC ("Google"). VoiceRoam, not Apple or Google, is solely responsible for the App and the content configuration therein. Apple and Google have no structural obligations to you under this agreement, except as explicitly detailed in Section 16.

1.4 By downloading, installing, accessing, or using the App, you explicitly confirm that you have read, understood, and agree to be bound by the entirety of this EULA. If you do not agree to these terms, you are not granted a license to the software. You must not download, install, or use the App, and you must delete any existing instances of the App from your devices immediately.

1.5 Relationship to Terms of Service. This EULA supplements our global Terms of Service and our Privacy Policy. Where this EULA covers software licensing mechanics and the Terms of Service covers the same topic from a service, account management, or commercial transaction perspective, both documents apply cumulatively. In the event of an irreconcilable conflict between this agreement and the Terms of Service, this EULA shall prevail exclusively for matters directly governing the software license, code usage, and device-level deployment. The Terms of Service shall prevail for all matters concerning payment processing, commercial transactions, user account ownership, and global dispute resolution frameworks.


2. License grant and scope

2.1 Subject to your unwavering compliance with the terms of this EULA and the complementary Terms of Service, VoiceRoam grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable, personal license to download, install, and execute one copy of the App on compatible mobile devices that you own or legally control.

2.2 Platform Specific Scope.

Apple Devices: The license granted for the iOS version of the App is strictly limited to use on any Apple-branded products that you own or control, and as permitted by the Usage Rules set forth in the official App Store Terms of Service, except that the App may be accessed and used by other accounts associated with the purchaser via commercial family sharing or volume purchasing systems.

Android Devices: The license granted for the Android version of the App is limited to use on compatible devices linked to your Google account, subject to the standard terms dictated by the Google Play Store.

2.3 This license represents a pure permission to use the software. It does not grant you any ownership interest, title, or intellectual property rights in the App, its underlying assets, its text configurations, its voice models, or its source material. You are licensing the right to execute the App; you are not buying the software.


3. Restrictions on use

3.1 You are strictly prohibited from copying, modifying, adapting, translating, reverse engineering, decompiling, disassembling, or attempting to extract the underlying source code of the App or any part thereof, except to the extent that this restriction is expressly prohibited by mandatory applicable law.

This restriction does not prevent you from decompiling the App solely to the extent necessary to achieve interoperability with an independently created software program, as permitted under Article 6 of the EU Software Directive (Directive 2009/24/EC) or equivalent mandatory local statutes. Any information obtained through such permitted interoperability operations must not be used for any other purpose, must not be disclosed to unauthorized third parties, and must not be used to construct a competing, substantially similar software product.

3.2 You shall not distribute, sublicense, lease, rent, lend, sell, host, or transfer the App, its individual data slices, or any operational rights granted under this EULA to any third party.

3.3 You shall not remove, alter, obscure, deface, or tamper with any copyright notices, corporate trademarks, digital rights management (DRM) wrappers, security watermarks, or proprietary cryptographic keys embedded within or applied to the App and its offline assets.

3.4 You are prohibited from using the App for any commercial or revenue-generating purposes. This includes, but is not limited to, utilizing the App to run a competing tour company, scraping data to build an external geographic database, or leveraging the app's output inside commercial media products without explicit written authorization from us.

3.5 Automation and Scraping. You shall not deploy automated scripts, bots, spiders, mass scrapers, or programmatic extraction tools to pull content from the App, map databases, or real-time AI API endpoints. You shall not probe, scan, or test the vulnerability of the App’s background servers or attempt to bypass any technical protection measures designed to secure downloaded offline packs.


4. AI-generated content and intellectual property

4.1 Tour Scripts and Audio Narration

VoiceRoam’s structural tour scripts are initially drafted using artificial intelligence technologies and are subsequently reviewed, corrected, enhanced, and curated by human editorial personnel. The voice over narrations you hear are generated via advanced text-to-speech architectures, producing entirely synthetic vocal outputs that do not belong to real individuals.

The unique selection, logical coordination, localized arrangement, and editorial refinement of these scripts constitute original, protected creative works owned entirely by VoiceRoam. The synthetic audio files are generated under our direct control and proprietary guidelines. All such content remains the exclusive intellectual property of VoiceRoam or its tech licensors to the maximum extent permitted under applicable regional and international laws, regardless of the degree of AI integration involved in the production chain.

To the extent that any legal jurisdiction determines that purely AI-generated elements are ineligible for copyright, you explicitly agree that such determinations do not diminish or nullify our intellectual property rights over the human-authored, curated, and combined elements of the software and its tours.

4.2 Synthetic Voice Rights

The voices used to deliver tour narratives are synthetic audio outputs. No natural person's voice was recorded, sampled, cloned, or exploited to create these models. Consequently, no moral rights, personality rights, or publicity rights of any natural person attach to these outputs. You are granted a simple runtime license to listen to this audio inside the App during a tour. You are strictly prohibited from extracting, isolating, recording, or redistributing the raw audio files or synthetic voice characteristics.

4.3 Pause & Ask Real-Time Responses

When you utilize the Pause & Ask feature, the resulting answers are generated in real time by external AI models (including Google Gemini) based on your custom prompts and photo uploads. These responses are processed transiently and are delivered as-is for your immediate personal information. While VoiceRoam does not claim structural copyright over these individual on-the-fly responses, you do not acquire any intellectual property rights over them either. You may not systematically scrape, republish, or commercially exploit outputs generated through the Pause & Ask interface.

4.4 Regional Transparency Compliance

AI elements within the App are systematically disclosed to fulfill transparency frameworks across target markets, including the European Union AI Act (Regulation (EU) 2024/1689). Synthetic audio outputs are designated as AI-generated within the user interface, and the Pause & Ask environment clearly signifies that its conversational streams are generated programmatically without human pre-review.


5. Offline content and downloaded data packs

5.1 The App features technical modules that permit you to download geographical map tiles, audio components, compressed text files, and localized asset packages directly to your device's local storage directory ("Offline Packs"). Downloading an Offline Pack constitutes a limited storage license; it does not transfer property ownership or permanent digital rights over the source files. The data within Offline Packs remains the proprietary property of VoiceRoam and is protected by the exact same usage restrictions outlined in Section 3.

5.2 Device Isolation. Offline Packs are licensed exclusively for dynamic execution inside the official VoiceRoam App on the specific authorized device to which they were originally downloaded. You are structurally barred from extracting individual audio files, database layers, or map assets from your device's local storage, transferring files to alternate hardware configurations, or processing the files with third-party software.

5.3 Life Cycle of Offline Content.

Acquired Content Preservation: Tours that you have legally acquired (via individual purchase or by redeeming an active pass credit) are permanently linked to your profile. Locally stored Offline Packs for these acquired tours will remain fully accessible on your device and will not be programmatically deleted or blocked upon the expiration of a multi-tour pass.

Breach and Termination Deactivation: If your license is revoked or your account is terminated due to a material breach of this EULA or the Terms of Service, your legal license to execute the data within the Offline Packs is extinguished. VoiceRoam reserves the right, where technically feasible via standard app operations, to render locally stored content packages inaccessible or to wipe the cached directories associated with the App.

Standard Uninstallation: If you choose to manually uninstall the App from your mobile device, your operating system's native routine will automatically clear out all associated Offline Packs. You can re-download your permanently acquired tours at any time by reinstalling the official App and logging back into your validated account.


6. Updates, modifications, and accessibility

6.1 Maintenance and Patches. VoiceRoam will issue periodic updates, security hotfixes, interface modifications, and library upgrades to maintain the App's performance and security posture. Depending on your device configuration and operating system permissions, these updates may download and install automatically without supplementary intervention.

6.2 Feature Modifications. You acknowledge that the features, language configurations, tour availability, and technical composition of the App may shift over time. If an upcoming software update significantly alters core functionality or negatively impacts your access to digital content, VoiceRoam will deliver a transparent system notice detailing the upcoming technical alterations.

If you are located within the European Union, these updates are engineered to comply with the conformity mandates of the EU Digital Content Directive (Directive 2019/770), guaranteeing your statutory rights to have the digital application brought into conformity or to terminate the arrangement if a non-conformity is material and cannot be resolved within a reasonable timeframe.

6.3 Digital Accessibility. We strive to design and optimize the App's user interface to align with modern accessibility benchmarks, including the core pillars of the European Accessibility Act (Directive 2019/882) and the Web Content Accessibility Guidelines (WCAG 2.1 Level AA). Accessibility remains a continuous optimization cycle. 7. Data collection and privacy

7.1 To run localized audio triggers and power our real-time AI layers, the App must process specific device-level parameters. Full operational transparency is governed by our Privacy Policy. By launching the App, you acknowledge the processing of data categories necessary for core software features, which include:

Ephemeral Location Data: While a tour is actively running, the App reads your device's GPS coordinates to trigger matching audio tracks. These coordinates are processed locally on-device or matched transiently; they are not saved as continuous historical route logs on our servers.

Pause & Ask Inputs: Text prompts and photos uploaded to the Pause & Ask system are routed securely via our servers to our technical API endpoints. Uploaded image assets are stored within isolated cloud storage for a maximum of 30 days purely for security monitoring and quality assurance, after which they are programmatically purged.


8. Third-party components

8.1 The App integrates specific third-party libraries, map rendering engines, and open-source software development kits (SDKs). These sub-components are governed by their own licensing terms (such as MIT, Apache, or BSD variants), which may contain different permissions or mandatory disclaimers.


9. Disclaimer of warranties

9.1 As-Is Software Delivery. To the maximum extent permitted by applicable law, the VoiceRoam mobile application is delivered to your device "as is" and "as available," without warranties, conditions, or guarantees of any kind, whether express, implied, or statutory. VoiceRoam explicitly disclaims all implied warranties, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, non-infringement, quiet enjoyment, and any warranties arising out of course of dealing or usage of trade.

9.2 Technical Dependencies. You explicitly acknowledge that the App's operational accuracy depends directly on external utilities outside our control, including your device's hardware health, internal compass calibration, cellular network stability, and GPS satellite array accuracy. We do not guarantee that the App will execute without interruption, that the audio streams will never buffer, that the underlying maps will be perfectly accurate, or that the AI-generated real-time answers will be free from factual errors.

9.3 European Consumer Carve-Out. If you are a consumer residing within the European Union (including Spain), this section does not strip away your statutory warranty rights provided under the EU Digital Content Directive (Directive 2019/770) as transposed into your local national laws. Under these protections:

We guarantee that the software will match subjective and objective conformity standards at the point of delivery.

Any lack of conformity that becomes apparent within the legally mandated statutory window from the date of supply will be presumed to have existed at delivery unless proven otherwise or incompatible with the nature of the digital service.

Your legal remedies follow a structured hierarchy, prioritizing the restoration of conformity via updates or software patches before moving toward price reductions or contractual termination.


10. Assumption of risk for location-based services

10.1 Physical Environment Disclaimer. VoiceRoam is a real-world pedestrian audio tour application. It is designed to deliver cultural narratives while you walk through public spaces, historic cities, urban environments, and varying geographical terrains. Your physical safety is entirely your own responsibility. The software cannot and does not monitor real-world conditions on your behalf.

10.2 Comprehensive Acknowledgment of Risk. By installing and executing the App, you explicitly acknowledge and agree to the following conditions:

No Route Safety Verification: VoiceRoam writes, curates, and reviews historical and cultural narratives. We do not continuously inspect, physically monitor, or verify the safety, pedestrian accessibility, structural integrity, or current traffic conditions of any street, sidewalk, architectural monument, or route mentioned in a tour.

Dynamic Environmental Threats: Real-world conditions are inherently fluid and unpredictable. Temporary construction zones, vehicle traffic patterns, unexpected crowd congestion, uneven cobblestones, sudden weather changes, political demonstrations, and varying local security realities are entirely outside our operational oversight. Such factors may render a tour route hazardous, impassable, or unsafe.

Absolute Obligation of Awareness: You must maintain uncompromised visual and physical awareness of your surroundings at all times. You must not look at the App's screen or engage with the Pause & Ask feature in any manner that distracts you from identifying physical hazards, vehicle traffic, changes in terrain, or steps. You must strictly obey all local pedestrian laws, traffic lights, crosswalk rules, and civil safety signage.

Complete Release of Liability: You voluntarily assume all physical risks associated with your movement through the real world while using our software. To the maximum extent permitted by applicable law, you release Travelfall Technologies Private Limited and its corporate officers from any and all liability for personal injury, physical harm, illness, property damage, loss, or theft that occurs directly or indirectly while executing a tour or navigating toward a point of interest highlighted within the software.


11. Limitation of liability

11.1 Unexcludable Legal Liability. Nothing in this EULA shall operate to limit or exclude our corporate liability for claims that cannot be legally limited or waived under mandatory applicable law. This includes, without limitation, our liability for personal injury resulting directly from our proven negligence, or for damages caused by our fraud, fraudulent misrepresentation, intentional misconduct, or gross negligence.

11.2 Liability Cap. Subject to the overarching protections in Section 11.1 and to the maximum extent permitted under the law of your jurisdiction, Travelfall Technologies Private Limited's total aggregate financial liability to you for all claims arising out of or relating to this EULA, code execution, or your use of the software shall be capped at a maximum of:

The total amount you paid to VoiceRoam via in-app purchases during the twelve (12) months immediately preceding the event that gave rise to the legal claim, or
Fifty euros (EUR 50), whichever number is higher.

11.3 Exclusion of Consequential Damages. Under no legal theory—whether in contract, tort (including negligence), strict product liability, or otherwise—shall VoiceRoam be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages. This exclusion covers any claims relating to lost profits, data corruption, bricked mobile hardware, network carrier fees, emotional distress over inaccurate historical data, or logistical expenses incurred due to a software crash.

11.4 You acknowledge that the content in VoiceRoam, including tour narration and Pause & Ask responses, is generated with the assistance of artificial intelligence and may contain errors, inaccuracies, or culturally sensitive material. You use all content at your own discretion. We are not liable for any decisions you make, actions you take, or emotional distress you experience based on content provided through the service, to the extent that such liability can be excluded under applicable law.

We are not liable for any loss or damage arising from your failure to maintain the security of your account credentials, your reliance on VoiceRoam content as an authoritative factual source, third-party services or websites you access through links in the app, GPS inaccuracies, network failures, or device-specific issues that affect your experience, or your physical safety while following tour routes. The physical safety terms in Section 8.3 apply in full. You remain responsible at all times for your own awareness of your surroundings, traffic, terrain, and local conditions.


12. Export compliance and sanctions

12.1 You explicitly represent and warrant that:

You are not located in a country that is subject to a United States Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and
You are not listed on any U.S. Government list of prohibited or restricted parties, including the Specially Designated Nationals (SDN) list maintained by the Office of Foreign Assets Control (OFAC).

12.2 You agree to fully comply with all applicable national and international export control regulations and trade sanctions. This includes adhering to Indian export regulations under the Foreign Trade (Development and Regulation) Act 1992, European Union Council sanctions regulations, U.S. Export Administration Regulations (EAR), and United Nations Security Council resolutions. Access to the software will be terminated immediately if your compliance status changes under any of these regulatory frameworks.


13. Third-party terms of agreement

13.1 You must strictly comply with all applicable third-party terms of agreement when executing and using the App. You acknowledge that using the App requires mobile data throughput and device battery consumption. You are solely responsible for complying with your wireless data service agreement, network carrier rules, and any specific terms mandated by your mobile operating system environment.


14. Termination

14.1 Term. This License Agreement remains active and legally binding until terminated by either you or VoiceRoam.

14.2 Voluntary Termination. You may terminate this EULA at any time by deleting your user account and completely purging the App and all associated Offline Packs from all mobile devices you own or control.

14.3 Administrative Revocation. VoiceRoam reserves the right to suspend or completely revoke your software license and block your access to our background servers immediately and without prior notice if you commit a material breach of any provision within this agreement, if we are ordered to do so by a competent court of law, or if we choose to permanently discontinue software distribution in your geographic region as outlined in the Terms of Service.

14.4 Post-Termination Realities. Upon termination of this EULA for any reason, all software usage rights granted to you are extinguished. You must stop using the App and uninstall it immediately. Sections 3 (Restrictions), 4 (Intellectual Property), 9 (Warranty Disclaimers), 10 (Assumption of Risk), 11 (Limitation of Liability), 15 (Governing Law), and 16 (Platform Protections) shall survive termination and remain fully enforceable.


15. Governing law and dispute resolution

15.1 Commercial Governing Law. This EULA, including its core formation, structural validity, interpretation, and performance, shall be governed by and construed in accordance with the laws of India, without giving effect to any principles of conflicts of law that would mandate the application of the law of an alternate jurisdiction.

15.2 Forum Selection for Non-Consumers. For any legal disputes, claims, or litigation arising out of or in connection with this software license that do not involve an individual acting as a protected consumer under European Union law, both parties explicitly agree to submit to the exclusive jurisdiction of the competent courts located in Uttarakhand, India. To the maximum extent permitted by applicable law, all such legal proceedings must be conducted strictly on an individual basis, and you explicitly waive any right to initiate, join, or participate in a class-action lawsuit or consolidated multi-party arbitration.

15.3 European Consumer Rights (Rome I Carve-Out). If you are a consumer habitually resident within the European Union (including Spain), nothing in this agreement strips away or diminishes the mandatory consumer protections afforded to you by the laws of your home country. Pursuant to Article 6(2) of the Rome I Regulation (EC No 593/2008), you retain the right to rely on the mandatory consumer laws of your nation of residence, and you may bring legal claims relating to this software contract before the competent civil courts of your country of habitual residence.


16. App Store and platform provisions

16.1 Apple App Store Minimum Terms

If you have downloaded the App from the Apple App Store, both parties explicitly acknowledge and integrate the following mandatory terms required by Apple Inc.:

If you have downloaded the App from the Google Play Store, both parties acknowledge the following platform shields:

Platform Disclaimer: Google is a provider of the digital marketplace and is not a party to this EULA. Google carries no liability, warranty obligations, or support duties to you regarding the performance or compliance of the App.

Direct Recourse: All structural support inquiries, security notifications, product compliance issues, and intellectual property claims must be directed straight to VoiceRoam, as outlined in Section 18.


17. General provisions

17.1 Severability. If any clause, sentence, or section of this EULA is declared invalid, illegal, or completely unenforceable by a court of competent jurisdiction, such invalidity shall not infect the remaining provisions. The unenforceable clause shall be modified to the minimum extent necessary to make it legally valid and effective, maintaining our original commercial and liability-limiting intent.

17.2 Entire Agreement. This License Agreement, alongside the integrated Terms of Service and Privacy Policy, constitutes the entire legal contract between you and VoiceRoam regarding the software license. It completely overrides all prior verbal agreements, promotional materials, or written correspondence regarding app deployment.

17.3 Assignment. VoiceRoam may freely assign, transfer, or delegate its corporate rights and operational obligations under this EULA to a successor entity in the event of a company merger, corporate acquisition, internal reorganization, asset sale, or joint venture, provided that such assignment does not degrade your consumer rights under applicable law. You may not transfer your license rights to any third party.
